Terms of service

These Terms of Service (“Terms”) govern your access to and use of surfil.com and the services (“Services”) made available by UpgradIQ, Inc. (a Delaware corporation, “we,” “us,” and “our”), which owns and operates Surfil.

1. Acceptance

By creating an account, starting a trial or paying for a plan, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least eighteen years old and have the legal capacity to enter into contracts in your jurisdiction. If you sign up for a company, you confirm you may bind it.

3. Plans and pricing

3a. What the Services are

Surfil is a growth platform for websites and online businesses. It reads your website’s public pages, combines them with the data you choose to connect, and gives you checks, scores, reports, Sprints and recommendations. Results are guidance, not a guarantee of any ranking, traffic or revenue outcome.

3b. Plans, prices and tax

We offer three plans: Starter at $29 per month, Pro at $79 per month and Growth at $199 per month. Each plan is also available annually at 10 times the monthly price ($290, $790 and $1990 per year). Prices are in US dollars and are shown before you pay. Sales tax, VAT or similar taxes are added where required and shown at checkout. What each plan includes, such as the number of websites, workspaces and seats, is shown on the pricing page when you buy.

3c. Workspaces and teams

A workspace is the company or product you work on. The member who creates it is its owner. An owner can invite editors, who work in the workspace and need a plan of their own, and collaborators, who can view, comment and vote, and use the free seats their owner’s plan includes. Invites expire after 7 days and can only be accepted by the email address they were sent to.

If the owner’s plan ends, the workspace becomes read-only for everyone in it for 7 days. After that nobody can enter the workspace until the owner renews; renewing brings it back as it was. Members keep sign-in, settings, billing and data export.

An owner can ask to hand a workspace to another member. The handover needs that member’s acceptance and our approval, and lapses after 14 days. The workspace’s records, including its decision log and growth memory, move with it.

Share links and public records. Owners choose what a share link shows and can withdraw it at any time. A public record page is off until you turn it on, shows results as percentages rather than your company’s figures, and can be turned off at any time. Reports on some plans can carry your own name and logo; you confirm that you hold the rights you need to use them.

4. Payment, trial and renewal

4a. Card payments

Plans are paid by card and processed by Stripe. By paying you agree to Stripe’s terms of service. We do not store your card number: Stripe holds and processes all card data and is subject to PCI-DSS. We keep a Stripe customer ID, payment confirmation and order metadata (plan, amount, date) for accounting and for service delivery.

4b. Trial

The Pro plan includes a 7-day trial. Starting it requires a valid card, which is not charged during the trial. When the trial ends, your card is charged automatically $79 per month (or $790 per year if you chose annual billing) plus any tax, and Pro continues, unless you cancel before the trial ends. We email you two reminders on days 4 and 6 of the trial, with the date and the amount. If you cancel before the trial ends, you pay nothing. The checkout screen shows these terms before you start the trial.

There is one trial per person, per card and per website. Prepaid cards cannot start a trial. If you have already had a trial, or try to start another, the plan starts as a paid plan immediately and you are told so before you confirm.

4c. Automatic renewal

Plans renew automatically at the end of each billing period (monthly or annual) at the price then shown on your Billing page, until you cancel. By starting a plan you authorize us, through Stripe, to charge your card for each renewal. If the price of your plan changes, we tell you by email before it applies to your next renewal, and you may cancel before then. You accept these terms, including automatic renewal, with a checkbox at Stripe checkout, before you pay anything.

4d. Cancelling

You can cancel at any time, online, in two clicks from Billing in your dashboard, without contacting us. Cancelling during a trial means you are not charged. Cancelling a paid plan always takes effect at the end of the period you have already paid for: access continues until that date and nothing is charged after it. Cancelling stops the next renewal; it does not end access early. You can also email hello@surfil.com and we will cancel the plan on your behalf.

4e. Refunds

Our published prices in US dollars are final. We do not refund or credit any part of a billing period that has already started, including when you cancel or move to a cheaper plan, because the plan gives you access for the whole period from the moment it begins. The exceptions are a refund we agree to in writing and any refund the law in your place of residence requires, which we honor. Your mandatory consumer rights, and our duties on tax and invoices, are not affected by this section. If we charged you in error, we refund the error in full. A refunded or charged-back payment ends access to what it paid for.

Your data stays on your account whether your plan is running or not, and you can export it from settings at any time, as set out in our Privacy policy.

4f. Failed payments and disputes

If a renewal payment fails and cannot be collected, the plan ends and access to paid features stops. A confirmed chargeback or dispute revokes access automatically. Complimentary access we grant by hand is not revoked automatically.

5. Intellectual property

5a. Our platform

We retain all rights to the platform, its checks, scoring methods, templates, reports and code. Your plan gives you a personal, non-transferable licence to use them for your own business and its team. You may not resell or redistribute any part of them.

5b. Your data

You keep all rights to the data you put into or connect to the Services. You give us permission to process it only to provide the Services to you, as described in our Privacy policy.

5c. Site content

All content on this website, including text, graphics, and code, is owned by or licensed to us. You may view and share it for non-commercial personal use with attribution. Any other use requires our prior written permission.

6. Acceptable use

You agree not to: (a) submit false or misleading information; (b) attempt to gain unauthorized access to any part of the Services or to another person’s account; (c) introduce malware or interfere with the Services, including by exceeding rate limits or probing for weaknesses; (d) scrape, harvest or collect data about other users; (e) use the Services in violation of applicable law.

Only scan sites you own or may analyze. The Services read the public pages of the websites you add. Add only a website you own or are authorized to manage. The one exception is a competitor: you may add a competitor’s website to compare against, and we read only its public pages, as any visitor could. Do not use the Services to attack, overload, or gather non-public information from a site you do not control, and do not add a website whose owner has told you to stop scanning it.

7. Connected accounts

You may connect Google Search Console and Google Analytics (read-only access) and Stripe (a restricted read-only key that you create). You confirm you are allowed to connect them. We use them only to show you your own numbers and to build your reports. You can disconnect at any time from your dashboard, which revokes our access and deletes the stored credentials and the data read through them.

You agree that we may use the figures you enter or connect in aggregated, de-identified form, combined with many other businesses and never with your name, to operate and improve the service. You can switch this off at any time in Settings, under Privacy and data. A change applies from the next daily update, and the screens you see do not change. When you delete your account the raw data is deleted, and only aggregates that cannot identify you remain.

8. The Surfil Pixel

The Surfil Pixel is a small script you may place on your website. It is cookieless and collects no personal data: it records page views, sources and AI referrals, real-user speed, conversions (form submits and tagged clicks), JS errors and 404s, with page paths cut at the query string, and a visitor hash built with a salt that rotates daily and is then discarded, so a visitor cannot be followed from one day to the next. You are responsible for telling your visitors that you use it, and for having whatever legal basis your law requires. As to the visitors to your website, you are the controller and we are your processor; the Data Processing Addendum applies and is incorporated into these Terms. Raw pixel events are kept for up to 7 days; daily summaries are kept for as long as your account exists, and are then deleted along with the account.

9. Verified and rankings

Verified means only a certificate that Surfil has issued after a written checklist and a human review. A certificate has its own public check page that shows its scope, date and status, and we can revoke it or let it expire when its source disconnects or goes stale. The badge shows only the numbers you pick. Proving that you control a domain is a different step, and we call it Domain confirmed.

A certificate is information only. It is not an audit, an attestation or an assurance. It says nothing about any period after the one shown, gives no financial, investment, tax or legal advice, and is not a rating or a valuation of the business. The yearly ranking of fastest-growing companies uses only active certificates and only companies that opted in. It is information only, not a recommendation to invest.

A report that you share with an investor is a copy taken on the date shown. We cannot recall a copy once it is made. Turning sharing off stops every future report and the live view at once.

10. Third-party links

The Services may contain links to third-party websites and depend on third-party providers, listed on our subprocessors page. We are not responsible for the content, policies, or practices of any third-party site.

11. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, UpgradIQ, Inc. disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that any recommendation will improve your results.

12. Limitation of liability

To the fullest extent permitted by law, UpgradIQ, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues or data, arising out of or related to your use of the Services. Our total liability for any claim arising out of or related to the Services shall not exceed the amount you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnification

You agree to indemnify and hold harmless UpgradIQ, Inc. from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms or your misuse of the Services.

14. Suspension and termination

We may suspend or end your access if you breach these Terms or put the Services or other members at risk, and will tell you why where we can. You may stop using the Services and delete your account at any time. Sections that by their nature should survive termination continue to apply after it.

15. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. This does not remove any mandatory consumer rights you have under the law of your place of residence.

16. Changes

We may modify these Terms from time to time. Material changes will be communicated by email or a prominent notice on the site before they take effect. Continued use of the Services after the effective date of the changes constitutes acceptance.
